1. Introduction

Please read this carefully before using the Center for Sacred Studies ("CSS") website, services, or products. This Terms and Conditions agreement is a legal contract between you and the Center for Sacred Studies that addresses your use of our website (the "Site").

By using this Site you will be bound by these Terms and Conditions along with the CSS Privacy Policy.  If you do not agree to these Terms and Conditions and/or the Privacy Policy, you must not use this Site.

These Terms and Conditions apply to the services available from, and related, to the Site, including without limitation any Company-owned or third-party communication channels accessible from or related to the content of the Site.

2. Changes to the Site and its Services

CSS may modify, replace, refuse access to, suspend or discontinue the Site, partially or entirely, or change and modify prices for all or part of any services at our sole discretion.  CSS might have to make changes to our Site and/or our Terms and Conditions, including the discontinuing of certain services, amending of prices, products and so on.

All of these changes shall be effective upon their posting on the Site.  Your use of any Services following such an event constitutes your acceptance of the Terms and Conditions as modified.

CSS reserves the right to amend and alter these Terms and Conditions.  In such an event, we will post the amended Terms and Conditions on this website.  Changes will apply from the date of posting.

If after the Terms and Conditions and/or the Privacy Policy have been amended or altered you do not agree to their new terms, you must stop using this Site.

3. Your Personal Data

We respect your rights regarding your privacy and information.  Please reference our Privacy Policy to help you understand how we collect, use, share, store and disclose the information we obtain from or about you when you use the Site.  Our Privacy Policy also describes the choices available to you regarding the use of, your access to and how to update and correct your information.

4. Your Use of this Site

You must not use this Site for anything that is unlawful or is prohibited by these Terms and Conditions and/or any notices elsewhere on this Site.

CSS advises that you seek professional advice before relying on any information on this Site. Under no circumstances will CSS be liable in any way for any information it provides on the Site or through any services, including, but not limited to, any errors or omissions in any content and information, including but not limited to text, software, photographs, graphics, video or other material (also known as Content), or any loss or damage of any kind incurred in connection with use of or exposure to any Content posted, emailed, accessed, transmitted, or otherwise made available via any services.

You represent and warrant to CSS that you are 18 years old or older and of legal age to form a binding contract.   You also certify that you are legally permitted to use and access the Site and take full responsibility for the selection and use of and access to the Site.  This agreement is void where prohibited by law, and the right to access the Site is revoked in such jurisdictions.

If you link to the Site, we may revoke your right to so link at any time.  We reserve the right to require prior written consent before linking to the Site.

You will indemnify and hold CSS, its board of directors, staff, employees, affiliates, officers, and volunteers harmless (including, without limitation, from all damages, liabilities, settlements, costs and attorneys’ fees) from any claim or demand made by any third party due to or arising out of your access to the Site, use of any services, your violation of these Terms and Conditions, or the infringement by you or any third party using your account of any intellectual property or other right of any person or entity.

5. Your Site Account

In order to register an account on this Site, you need to either:

a)  provide your first name, email address, and a secure password, and become a subscriber to gain access to the private content on this Site you have requested access to or

b) complete the Checkout by providing billing details and become a customer of this Site and access any services you have purchased, including free products

Once CSS has sent you a confirmation email you will become a member, (i.e. either a Customer or a Subscriber who has an Account on this Site) and will be able to access services available via the Site.

You must provide true, accurate, current and complete information about yourself when completing any forms. If any information provided by you is not true, accurate, current and complete, CSS has the right to cancel your account and refuse any and all current or future use of this Site.  CSS reserves the right to cancel your User Name and Password without notice if we become aware of any breach of these Terms and Conditions by you.

6. Purpose, Refunds, Payments, and Taxes

CSS enables users to buy products and services online.  You are required to pay in advance before gaining access to products and services.  All payments are non-refundable.

CSS reserves the right, in its absolute discretion, to determine your eligibility for any discounts, and to withdraw or to modify a discount program at any time without prior notice and with no liability.

You are responsible for paying any taxes, including any goods and services or value-added taxes, which may be applicable depending on the jurisdiction of the services provided.  Depending on your residency or location, you may be subject to certain ad valorem or other taxes (for example, VAT in Europe), on certain fees that we charge.  These taxes will be added to fees billed to you, if applicable.  You acknowledge that you must comply with your obligations under income tax provisions in your jurisdiction.

We never store credit card numbers as transactions are securely looked after by PayPal.

7. Third-Party Content and Services

CSS is not an agent of any third party or any party named or linked to this website and does not have any authority to act for such Third Parties.  CSS does not control or endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such Third Parties.

You agree that we are not responsible for the availability or contents of any such third party sites, or the services they provide, which shall be governed by the Terms and Conditions of that third-party business. Your use of third party sites and services is at your own risk. You agree to comply with the relevant terms and conditions of any such third party service provider.

You agree that (to the maximum extent permitted by applicable law) CSS (and our officers, board of directors, employees and volunteers) shall have no liability to you in relation to any dispute which you may have with a Third Party, without limitation one or more of your customers, and/or any other users of this Site.

On top of not fully relying on our own Content, you should also not rely on any Third Party content you might find on this Site.  We do our best to seek quality, however, you should always be careful, no matter what website you are looking at.

8. Intellectual Property

Unless otherwise indicated, the Site is CSS's proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by CSS and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.

You acknowledge and agree that all Content provided on the Site or our services is protected by copyright and trademark.

The Content and the Marks are provided on the Site "as is" for your information and personal use only.  Except expressly provided in these Terms and Conditions, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express, prior written permission.

You acknowledge and agree that you will not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purposes whatsoever any Content or third party submissions or other proprietary rights not owned by you without prior written consent.

9. Products

We make every effort to display as accurately as possible the colors, features, specifications, and details of the products available on the Site.  However, we do not guarantee that the colors, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colors and details of the products.  All products are subject to availability, and we cannot guarantee that items will be in stock.  We reserve the right to discontinue any products at any time for any reason.  Prices for all products are subject to change.

10. Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site or the Marketplace Offerings ("Submissions") provided by you to CSS are non-confidential and shall become CSS's sole property.  We shall own exclusive rights, including intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.  You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions.  You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

11. Site Management

CSS reserves the right, but not the obligation, to:

  • monitor the Site for violations of these Terms and Conditions;
  • take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms and Conditions, including without limitation, reporting such user to law enforcement authorities;
  • in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your contributions or any portion thereof;
  • in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to CSS's systems; and
  • otherwise, manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site and the marketplace offerings.

12. Termination

Without prejudice to any remedy that CSS may have against you, CSS may terminate or suspend with immediate effect and without notice, your access to and use of this Site if:

  • it does not receive timely payment;
  • it reasonably believes that you have breached any of these Terms and Conditions;
  • it is unable to verify the accuracy or validity of any information provided by you;
  • or it suspects fraudulent, abusive or illegal activity by you.

Should you object to any of these Terms and Conditions, or any subsequent changes to them, or become dissatisfied with this Site in any way, your only recourse is to immediately discontinue to access or use this Site.

13. Governing Law

These Terms and Conditions and your use of the Site and the marketplace offerings are governed by and construed in accordance with the laws of the State of California applicable to agreements made without regard to its conflict of law principles.

14. Warranty Disclaimer and Limitation of Liability

CSS has no special relationship with or fiduciary duty to you. You acknowledge that CSS has no control over, and no duty to take any action regarding:

  • which users gain access to any services;
  • what Content you access via any services;
  • what effects the Content may have on you;
  • how you may interpret or use the Content; or
  • what actions you may take as a result of having been exposed to the Content.

You release CSS from all liability for you having acquired or not acquired Content through our services.  Any services may contain, or direct you to Site containing, information that some people may find offensive or inappropriate.

The services, content, Site, and any software are provided on an "as is" basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that use of the services will be uninterrupted or error-free.

In no event shall CSS or its suppliers, or their respective officers, directors, employees, volunteers or agents be liable with respect to the Site or the services or the subject matter of this agreement under any contract, negligence, tort, strict liability or other legal or equitable theory

  • for any amount in the aggregate in excess of the greater of the fees paid by you for the products or services purchased through the Site during the six-month period preceding the applicable claim;
  • for any special, indirect, incidental, punitive, or consequential damages of any kind whatsoever;
  • for data loss or cost of procurement of substitute goods or services;
  • for any matter beyond CSS's reasonable control; or
  • for any actions of, or services provided by, third-party service provider businesses or independent contractors providing services on behalf of CSS.

CSS does not warrant, endorse, guarantee, or assume responsibility for the accuracy or reliability of any information offered by third-party websites linked through the site or any website or feature linked in any banner or other advertising.  CSS will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or services.

15. Indemnification

You agree to defend, indemnify, and hold CSS harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, employees, and volunteers, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

  • your violation of the rights of a third party, including, but not limited to intellectual property rights; or
  • any overt harmful act toward any other user of the Site with whom you connected via the Site.

Notwithstanding the foregoing, CSS reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify CSS, and you agree to cooperate, at your expense, with our defense of such claims.  CSS will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

16. Miscellaneous

While CSS will try to provide you with uninterrupted access to this Site and any services, CSS may need to withdraw, modify, discontinue or temporarily or permanently suspend one or more aspects of this Site where CSS has a legal, technical or other good reason to do so (including technical difficulties experienced by CSS or any Internet infrastructure). However, CSS will try, wherever possible, to give reasonable notice of CSS's intention to do so.

CSS reserves the right to withhold, remove and/or discard any Content available as part of your account, with or without notice if deemed by CSS to be contrary to these Terms and Conditions.

If CSS fails to exercise or enforce a right under the Terms and Conditions that failure shall not constitute a waiver of such right or provision.

If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, that provision shall be deemed severed and the validity and enforceability of the remaining provisions shall not be affected. The parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision.

Each party acknowledges that on entering into these Terms and Conditions, it does not rely, and has not relied, upon any representation (whether negligent or innocent), statement or warranty made or agreed to by any person (whether a party to these Terms and Conditions or not) except those expressly set out in these Terms and Conditions.

Unless expressly provided in the Terms and Conditions no term of them is enforceable by any person who is not a party to it.
